Abstract: This program will cover the range of practical tax, estate planning and easement issues that surround owning, operating and transferring a vacation home or other distinctive family-owned property. The integration of income tax planning with estate and trust planning will be discussed, including what happens when well-laid plans must be unwound when the property is sold due to economic distress. The program will discuss practical techniques for keeping the property in the family for multiple generations while minimizing intra-family conflict over usage and financial issues. Also, the program will cover the use of conservation easements to protect distinctive family property, including distinctive farm or ranchland. Abstract: This program will be a practical guide to putting together the economic provisions of LLC operating agreements and ensuring the complex interrelationship of tax and non-tax provisions conform to the underlying economic agreements of the members. The program will cover business deal points and their transactional consequences, and the thick overlay of tax rules that sometimes scuttle, and always complicate, the basic economics of the LLC. Three major points in the lifecycle of an LLC will be discussed, including formation and the impact of the contribution of different types of assets; operating distributions and allocations, including preferential returns; and the sale of LLC interests. The program will be an intermediate level discussion intended for non-tax specialists. Abstract: The widespread use of different business forms - corporations, S Corps, LLCs and other pass-through entities - has led to the greater incidence of -inter-species- combinations. Either when clients want to rationalize various entities that have been created over time or in a formal combination of third party business, practitioners often face substantial tax and nontax uncertainty about exactly how two different species of entity are combined and with what tax effect. This program is designed as a guide to combining C Corps and S Corps with LLCs and other non-corporate forms, including discussions of entity and owner level tax treatment, non-tax considerations on the transfer of assets or ownership interests, and alternatives to formal combinations. Topics include: Differences between corporate/corporate combinations and corporate/non-corporate mergers, C Corp/LLC mergers and S Corp/LLC mergers, Tax and non-tax considerations, Asset v. equity combinations, Entity v. owner level considerations and Alternatives to formal combinations.

Compensation Issues in LLCs
|
|
Abstract: There are many equity-based compensatory alternatives available to LLCs, each with their own tax consequences for the LLC and the recipient of the interest. In addition to unrestricted or restricted capital interests and profits interests, the LLC can issue options to acquire an interest or "virtual options" in the form of appreciation rights. There is no right choice among these alternatives. Instead, in choosing from the alternatives the LLC is essentially balancing the tax effect on existing versus prospective members, the LLC itself versus it members, and the certainty of tax outcomes versus potential tax benefits. This program will provide you with a practical guide to equity based compensatory interests in LLCs and their financial and tax consequences.
